Referral Program Terms and Conditions
These Terms and Conditions (the “Agreement”) set forth the legally binding terms governing participation in the ProfitOn Referral Program (the “Referral Program”) offered by ProfitOn (“Company”, “we”, “us”, or “our”). By participating in the Referral Program, the referring party (“Publisher”, “you”, or “your”) agrees to be bound by the following provisions:
1. Definitions
1.1. “Referral Program” means the incentive-based program operated by ProfitOn that enables existing publishers to refer third parties to create ProfitOn Publisher Accounts.
1.2. “Referred Client” refers to a third party who registers for a ProfitOn Publisher Account via either the Publisher’s unique referral URL or the Publisher’s designated personal Promocode.
1.3. “Eligible Referred Client” means a Referred Client who:
- (a) registers through a Publisher’s unique referral URL or enters the Publisher’s designated personal Promocode;
- (b) provides all required information in accordance with ProfitOn’s Terms and Conditions;
- (c) is approved by ProfitOn in its sole discretion;
- (d) owns a valid, active Publisher Account;
- (e) uses one or more ProfitOn services;
- (f) remains compliant with ProfitOn Terms and Conditions throughout the term of the Program;
- (g) is not subject to account suspension, ban, or investigation by ProfitOn.
1.4. “Active Referred Client” means an Eligible Referred Client who continuously uses ProfitOn services without interruption for a period defined by the Company.
2. Execution of the Referral Program
2.1. The Publisher may participate in the Referral Program by distributing their unique referral URL or personal Promocode.
2.2. Referred Clients must either register through the referral URL or enter personal Promocode. Registrations not linked to either method shall not be considered valid referrals and will not qualify for any compensation.
2.3. ProfitOn shall maintain sole discretion in verifying and approving the eligibility of any Referred Client.
3. Eligibility Criteria for Payment
3.1. A Referral Fee shall only be payable where:
- The Referred Client is confirmed by ProfitOn as an Eligible Referred Client;
- The Publisher’s own ProfitOn Account remains active and in good standing;
- The Publisher does not refer themselves or create duplicate/self-owned accounts for the purpose of receiving Referral Fees;
- No breach of ProfitOn’s Terms and Conditions has occurred;
- The Publisher has submitted accurate and complete information regarding the acquisition method of the referral to their assigned ProfitOn account manager.
3.2. ProfitOn retains the right to suspend or withhold Referral Fees if there is any doubt as to the eligibility or authenticity of the Referred Client.
4. Obligations of the Publisher
4.1. The Publisher agrees to:
- Comply with all applicable laws and regulations;
- Avoid using fraudulent, misleading, or deceptive means to acquire referrals;
- Provide full transparency regarding the acquisition method of the referral upon request;
- Act in good faith and refrain from engaging in self-referrals or abuse of the Program;
- Maintain an active ProfitOn Publisher Account with functioning zones and ensure continuity of cooperation with the Company.
4.2. ProfitOn may revoke participation privileges at any time due to violations or suspected abuse.
5. Referral Fees and Payments
5.1. Subject to the terms herein, the Publisher shall be entitled to a Referral Fee of up to 5% of the net revenue generated by the Active Referred Client.
5.2. The exact rate is variable and shall be determined at ProfitOn’s sole discretion, taking into account factors such as traffic quality, performance, volume, and other commercial considerations.
5.3. ProfitOn shall have the sole authority to determine:
- Eligibility for payment;
- Timing of disbursement;
- Manner of payment.
5.4. Referral Fees shall only continue to accrue and be payable while the Publisher maintains an active ProfitOn Publisher Account with ongoing activity (working zones). A Publisher who ceases to actively use their account or whose account becomes inactive shall no longer be entitled to receive Referral Fees, regardless of previously referred clients. This includes any Referral Fees already accrued but not yet paid as of the date the Publisher’s account becomes inactive, suspended, or is terminated for breach of the Terms and Conditions; such amounts shall be treated in accordance with Section 9 of the Publisher Terms and Conditions.
6. Use of Trademarks
6.1. The Publisher shall not use any ProfitOn trademarks, service marks, trade names, or other proprietary materials without prior written consent.
6.2. Unauthorized use may result in immediate termination from the Referral Program and legal remedies as deemed appropriate.
7. Warranty
7.1. The Publisher represents and warrants that:
- All referral activities shall comply with applicable laws;
- They possess all necessary rights to promote ProfitOn to prospective clients;
- No referral will infringe upon the rights of any third party.
7.2. ProfitOn disclaims all warranties, express or implied, relating to the Referral Program, including but not limited to the availability of services or the continuation of any fees.
8. Indemnity
The Publisher agrees to indemnify, defend, and hold harmless ProfitOn, its officers, directors, affiliates, and employees from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or related to the Publisher’s participation in the Referral Program, including but not limited to any breach of this Agreement or applicable law.
9. Confidentiality and Data Protection
9.1. The Publisher agrees to keep all non-public information disclosed in connection with this Agreement confidential.
9.2. The Publisher shall comply with all applicable data protection laws and shall not collect or process any personal data on behalf of ProfitOn without appropriate legal authority.
10. Term and Termination
10.1. This Agreement shall commence upon Publisher’s acceptance and remain in effect until terminated by either party.
10.2. Either party may terminate this Agreement at any time, with or without cause, by providing written notice.
10.3. Upon termination, the Publisher shall cease all promotional activities and no further Referral Fees shall accrue unless otherwise agreed in writing.
11. Independent Relationship
Nothing herein shall be construed to create a joint venture, partnership, agency, or employment relationship between the parties. The Publisher shall act solely as an independent contractor.
12. Entire Agreement and Variation
This Agreement constitutes the entire agreement between the parties with respect to the Referral Program and supersedes all prior or contemporaneous communications. ProfitOn reserves the right to amend or modify this Agreement at any time, with changes becoming effective upon publication or notice to the Publisher.
13. Miscellaneous
13.1. This Agreement shall be governed by and construed in accordance with the laws of Cyprus.
13.2. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
13.3. Failure by ProfitOn to enforce any provision shall not constitute a waiver of that or any other provision.
