Terms and Conditions

These Publisher Terms and Conditions (“Terms”, “Agreement”) govern your participation in the ProfitOn advertising platform (“ProfitOn”, “we”, “us”, “our”), operated by Yottads Ltd, a company incorporated in Cyprus.

By registering as a Publisher, integrating our Tags, or using the ProfitOn platform, you agree to be bound by these Terms.

ProfitOn is a technology platform that facilitates automated buying and selling of digital advertising inventory. We are not an advertising agency and do not control or endorse the content of Publisher Sites or Advertiser materials.

These Terms apply in addition to our Website Terms of Use, Privacy Policy, and Cookie Policy.

2. Who Can Use the Platform

To participate as a Publisher, you must:

  • be at least 18 years old and legally able to enter into binding contracts;
  • provide true, accurate, and complete registration information;
  • pass any verification, identity, compliance, or KYC reviews we may require.

Single-account rule

A Publisher may maintain only one active account unless ProfitOn explicitly authorizes additional accounts in writing.

No transfer or sharing

Your account is personal to you or the entity you represent, and you may not sell, rent, assign, transfer, or otherwise allow any third party to access or operate it. You are fully responsible for all activity that occurs under your account, whether authorized or unauthorized. We may suspend or terminate accounts used or created in violation of these rules.

3. Your Responsibilities as a Publisher

You are solely responsible for:

  • the content, legal compliance, and operation of your websites, apps, or services (“Publisher Sites”);
  • correct implementation and maintenance of ProfitOn Tags;
  • ensuring that your sites comply with all applicable laws and industry standards;
  • informing us promptly of significant changes to your sites or traffic sources.

Ad Placement

You agree to display Ads only on approved Publisher Sites and in locations visible under normal user behavior—not on pages composed primarily of advertisements. You may remove our Tags at any time; however, obligations accrued before removal remain enforceable.

4. Content Standards & Illegal Content

Publishers must not display, host, promote, distribute, or link to any content that violates applicable laws or industry standards. Without limiting the generality of the above, the following are strictly prohibited:

  • child sexual abuse material, exploitation of minors, or content involving individuals unable to legally consent;
  • extremist, terrorist, or violent content, including advocacy of harm or illegal acts;
  • illegal drugs, weapons, or regulated goods offered without authorization;
  • fraudulent, misleading, or harmful schemes, including phishing, identity theft, or pyramid/Ponzi schemes;
  • unauthorized copyrighted materials, digital piracy, or hacking tools;
  • gambling, betting, or gaming services where such activity is not legally permitted;
  • non-consensual intimate imagery or content violating privacy rights;
  • any content infringing the rights of third parties or violating applicable regulations.

ProfitOn is not the publisher of your content

While ProfitOn applies reasonable monitoring practices, automated detection, and manual review procedures, we cannot guarantee continuous or comprehensive oversight of all Publisher content. Publishers may change or update content without our knowledge. Therefore, ProfitOn cannot accept full responsibility for monitoring or policing Publisher content. The Publisher remains solely liable for all content displayed on their sites or services.

5. Traffic Quality & Anti-Fraud

Publishers must not generate or attempt to generate Artificial Traffic, including:

  • traffic generated by bots, automation tools, scripts, or manipulation;
  • forced clicks, misleads, clickjacking, incentivized actions (unless expressly allowed);
  • misleading UI/UX designed to trick users into interacting with ads;
  • traffic originating from malware, harmful extensions, or hijacked devices.

Zero-Tolerance SPAM Policy

ProfitOn maintains a zero-tolerance policy toward SPAM. Any use of unsolicited communications—email spam, messenger spam, SMS spam, forum or comment spam, automated messaging—to generate Traffic is strictly prohibited and constitutes fraudulent activity. Such behavior may result in immediate suspension or termination of the account, withholding of payments, and any other remedies permitted by law.

6. Data, Privacy & Cookies

Publishers must maintain a clear and accessible Privacy Policy, which must (where required):

  • disclose the use of third-party ad technologies (including ProfitOn/Yottads);
  • describe what data is collected and for what purposes;
  • provide legally required consent, opt-in, or opt-out mechanisms.

Cookies and Consent

If you use cookies, pixels, SDKs, or similar technologies, you must display a legally compliant cookie notice or consent banner, including under GDPR, ePrivacy, or applicable local regulations. You must implement any additional consent requirements mandated by law or communicated by ProfitOn.

7. Payments & Reporting

All reporting data (impressions, clicks, conversions, revenue) recorded by ProfitOn systems constitutes the sole authoritative source for calculating Commission.

Disputing Statistics — 2-day Deadline

You must review reporting data promptly. Any discrepancy, objection, or dispute must be submitted within two (2) calendar days after the end of the reporting period. If no dispute is raised within this period, the statistics are deemed accurate and final.

Adjustments

ProfitOn may adjust reporting data, account balances, or payable amounts to reflect:

  • tracking errors or technical interruptions;
  • invalid, fraudulent, or artificial activity;
  • advertiser corrections, disputes, or rejections;
  • reversed, refunded, or uncollected amounts;
  • any instance where recorded activity does not represent legitimate billable traffic.

Adjusted amounts will be reflected in the Publisher’s dashboard.

Minimum Payout

Payments are issued once your payable balance reaches at least $50 USD or the equivalent in supported payout methods.

Payout Schedule

Payments follow the schedule displayed in your Publisher dashboard. ProfitOn may update the payout schedule from time to time, with changes applying prospectively.

Fees & Taxes

Any bank fees, payment service charges, or currency conversion costs may be deducted from payouts. All applicable fees, thresholds, payout methods, and charges are shown in the Publisher dashboard and may be updated as needed. Publishers are responsible for all applicable taxes on received income.

Advertiser Non-Payment

ProfitOn forwards only funds actually received from Advertisers. If an Advertiser does not pay ProfitOn, ProfitOn is not obligated to pay the related Commission.

8. Disputes, Investigations & Limitations

ProfitOn may suspend payments or account access during investigations of fraud, non-compliance, or content violations. We will attempt to resolve disputes in good faith, but our reporting and assessment of traffic validity remain final unless corrected internally.

9. Suspension & Termination

ProfitOn may suspend or terminate a Publisher account:

  • for any violation of these Terms;
  • for fraud, SPAM, Artificial Traffic, illegal content, or reputational risk;
  • if required by law, regulatory authorities, or payment providers;
  • for convenience, with 30 days’ notice.

Publishers may terminate by removing Tags and notifying ProfitOn. Upon termination, all rights to use the platform cease and all Tags must be removed. Unpaid amounts may be withheld in cases of fraud, illegal content, or other serious breaches.

10. Legal Terms

Intellectual Property

ProfitOn, Yottads Ltd, and Advertisers retain all intellectual property rights in their Ads, software, Tags, and technology. Publishers gain no ownership rights through participation in the platform.

Limitation of Liability

To the fullest extent permitted by law:

  • ProfitOn is not liable for any indirect, incidental, special, punitive, or consequential damages, or for loss of revenue, profits, data, or goodwill;
  • ProfitOn’s total aggregate liability for any claim shall not exceed the total amount of Commission actually paid to the Publisher during the one (1) month preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless ProfitOn, Yottads Ltd, and their affiliates, directors, employees, and partners from any claims arising from your content, your traffic, your use of the platform, or your breach of these Terms or any applicable law.

Governing Law

This Agreement is governed by the laws of Cyprus. Courts of Cyprus have exclusive jurisdiction over any dispute.

Changes to Terms

ProfitOn may update these Terms at any time. Continued use of the platform constitutes acceptance of the updated version.

11. Miscellaneous

  • If any provision is held invalid, the rest remain in effect.
  • No delay or inaction constitutes a waiver of rights.
  • You may not assign this Agreement without written consent from ProfitOn.
  • These Terms constitute the entire agreement between you and ProfitOn regarding the Publisher Program.
